  1. These Terms of Service (“Terms”) govern access to and use of the website operated by Superform Chemistries Limited, India (hereinafter referred to as "SUPERFORM", “we,” “us,” or “our”) available at https://www.superformchemistries.com/ (the “Website”). By accessing, browsing, or using this Website and any features, content, or tools made available through it (collectively, the “Services”), you (“User,” “you,” or “your”) agree to be bound by these Terms, and any supplemental terms made available for specific features.

  2. Minimum Age and Capacity to Use the Service

    By accessing or using the Website or the Service, the User represents and warrants that they are at least 18 years of age and are competent to enter into a legally binding contract under applicable laws. SUPERFORM shall not be responsible for any unauthorized or unlawful use of the Service by minors or persons not competent to contract or provide valid consent as per applicable laws.

    SUPERFORM does not offer any services to any person through the Website. Access to any information through the Website is provided only on "as is where is basis" and "with all faults". All Information or products available on or through the Website, and any software made available on the Website, are on a "best effort basis".

SUPERFORM expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to the implied warranties of merchantability, fitness for a particular purpose and non-infringement. SUPERFORM does not warrant that the Website or the Services will meet the User’s requirements, or the Services will be uninterrupted, timely, secure, or error free, or free of defects, inaccuracies, typographical errors, or harmful components. SUPERFORM makes no warranty as to the results that may be obtained from the use of the Website or Service or that any defects or errors will be corrected.

    The User understands and agrees any material, information, or data downloaded or otherwise obtained through the Website or Service is obtained entirely at User’s discretion and risk and the User shall be solely responsible for any damage to their device systems, loss of data or any other loss arising from such use. No advice or information, whether oral or written, obtained by the User from SUPERFORM or through the Website or Service shall create any warranty not expressly stated in these Terms.

    SUPERFORM does not, expressly or impliedly, warrant, guarantee or make any representations concerning the use, results of use or inability to use or access the Website or any content of the Website, in terms of the accuracy, reliability, completeness, correctness, functionality, performance, continuity, timeliness or otherwise, fitness for a particular purpose and/or non-infringement with respect to the Website and/or the content available on it. SUPERFORM does not warrant that the Website or functions thereof will be uninterrupted or free of any error or defect or that such information will satisfy any intended purpose or requirement of the User.

  5. Limitation of Liability

    To the fullest extent permitted by applicable law, SUPERFORM disclaims any and all liability, whether current or future, arising out of or relating to any errors, omissions, interruptions, inaccuracies, defects, delays, or failures in the transmission, display, or delivery of any data, information, material, or content on the Website.     • c. any infringement or violation of intellectual property rights, privacy rights, or proprietary rights;
    • d. any content uploaded, transmitted, or submitted by the User;
    • e. any non-compliance or violation of applicable laws, regulations, or legal obligations by the User.

  7. Proprietary Rights to Content

The confidentiality obligations contained herein shall survive termination and shall remain in full force to the maximum extent permitted by law.

  11. Privacy and Personal Information

    SUPERFORM will use and process the personal information provided by the User strictly in accordance with SUPERFORM’s Privacy Policy, which can be accessed at https://www.superformchemistries.com/privacy-policy . The User shall be responsible for all activities that occur under/during the User accessing the Website authorized or unauthorised. SUPERFORM shall not be liable for any loss, damage, or liability that the said User may incur as a result of any unauthorised access, whether or not the User was aware of such unauthorised access.

  12. Intellectual Property Rights

    All trademarks, service marks, logos, trade names, and other brand identifiers of SUPERFORM (“SUPERFORM Marks”) appearing on the Website are the exclusive property of SUPERFORM and it’s affiliates, and all rights, whether statutory or otherwise, shall vest solely in SUPERFORM. Any unauthorised use, reproduction, or misuse of the SUPERFORM Marks shall constitute a violation of applicable laws and international treaties.

    Except as otherwise expressly stated on the Website, all copyrights and proprietary rights in the content on the Website, including without limitation text, graphics, images, software, html code, data, and other materials, are owned exclusively by SUPERFORM. All rights are reserved. No part of the Website or its contents may be copied, reproduced, modified, distributed, transmitted, displayed, stored, or used in any form or by any means without the prior express written consent of SUPERFORM.

  13. Prohibited Conduct

      A. The User shall not use the Website of the Services to upload, post, transmit, or otherwise make available on or through the Website any content that:

      • is unlawful, harmful, threatening, abusive, harassing, torturous, defamatory, vulgar, obscene, libellous, invasive of another's privacy, hateful, racially, ethnically, or otherwise objectionable;

      • contains sexual content, nudity, sexually explicit material, or solicitation of sexual acts;
      • promotes hatred or violence against individuals or groups based on race, religion, nationality, gender, caste, disability, or any protected classification;

      • provides or solicits instructions related to weapons, explosives, harmful substances, or illegal drugs;

      • Interfere with or disrupt the service or servers or networks connected to the service, or disobey any requirements, procedures, policies or regulations of networks connected to the service;
      • Intentionally or unintentionally violate any applicable local, state, national or international law, including, but not limited to, regulations promulgated by the US securities and exchange commission, any rules of any national or other securities exchange, including, without limitation, Any stock exchange, the American stock exchange or the NASDAQ, and any regulations having the force of law.

  14. Independent User Responsibilities

    The User is solely responsible for:

    • ensuring the accuracy and legality of information submitted to the Website;
    • complying with all applicable laws while using the Service;

  15. Special Admonitions for International Use

However, with respect to content the User submits, the User grants SUPERFORM, a world-wide, royalty free, non-exclusive, transferable, and sublicensable licence to use, reproduce, distribute, modify, adapt, publicly perform, publicly display, and otherwise utilise such content solely for the purposes of operating, providing, improving, and promoting the relevant SUPERFORM feature, service, or area in which such content was submitted. The User represents and warrants that they hold all necessary rights and permissions to grant the licence described herein and that the content does not infringe any third-party rights.

  17. Modifications to Service

    SUPERFORM reserves the right, at any time and from time to time, to modify suspend, or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. The User agrees that SUPERFORM shall not be liable to the User or to any third party for any modification, suspension or discontinuance of the Service, and that continued use of the Service after such modification constitutes acceptance of the same.

  18. Maintenance and Suspension

    SUPERFORM may, at its sole discretion, temporarily suspend or restrict access to the Website or the Service for maintenance, upgrades, testing, or technical reasons. SUPERFORM shall not be liable for any loss or inconvenience caused due to such suspension.

  19. Force Majeure

    SUPERFORM shall not be liable for any failure or delay in the performance of its obligations under these Terms if such failure or delay results, directly or indirectly, from any cause or condition beyond its reasonable control. Such causes shall include, without limitation, acts of God, natural disasters, earthquakes, floods, fires, storms, explosions, epidemics, pandemics, public health emergencies, war, hostilities, acts of terrorism, riots, civil unrest, strikes, lockouts, labour disputes, industrial disturbances, power failures, breakdown of communication facilities, internet or network outages, failures of utility or telecommunications systems, cyber security incidents, system malfunctions, hardware or software failures, denial-of-service attacks, malicious code attacks, governmental actions, regulations, embargoes, court or administrative orders, or any other event or circumstances that makes performance commercially impracticable. In the event of a force majeure occurrence, SUPERFORM shall be excused from performance for the duration of such event and shall resume performance as soon as reasonably practicable. The User agrees that no suspension, delay, or non-performance by SUPERFORM due to a force majeure event shall entitle the User to any refund, reduction of fees, or other compensation of any kind.

  20. Term and Termination

      A. These Terms shall remain in full force and effect for so long as the User accesses or uses the Service. Either the User or SUPERFORM may terminate the User’s access to the Service at any time, subject to these Terms. The User agrees that SUPERFORM may, under certain circumstances and without prior notice, immediately terminate the User’s associated credentials, and access to the Service. Cause for such termination shall include, but not be limited to:

      • breaches or violations of these Terms or other incorporated agreements, policies, or guidelines;
      • requests by law enforcement or other government authorities; a request by User;
      • discontinuance, withdrawal, or material modification to the Service (or any part thereof);
      • unexpected technical, operational, or security issues or problems,
      • extended periods of inactivity.

      B. Termination of User’s access may include, without limitation:

      • removal of access to all or part of the Service, including but not limited to SUPERFORM mail, groups, messenger, chat, domains, personals, auctions, message boards, greetings, alerts and games,
      • barring or restricting any further access to or use of the Service.

      The User acknowledges and agrees that all terminations shall be made in SUPERFORM's sole discretion and that SUPERFORM shall not be liable to you or any third-party for any termination of your access to the Service, any associated email address. These Terms constitute a legal agreement between the User and SUPERFORM. The User must accept without modification all of the terms, conditions, and notices contained in these Terms in order to access and use the services. if the User do not accept these Terms in their entirety, the User may not access.

  21. Survival

    Any provisions of these Terms which, by their nature, are intended to survive termination (including but not limited to Clause 5 (Limitation of Liability), Clause 6 (Indemnification), Clause 7 (Confidentiality), Clause 8 (Intellectual Property Rights), Clause 9 (Governing Law and Dispute Resolution), and Clause 10 (Assignment)) shall remain in full force and effect notwithstanding termination.

  22. Modification of Terms

  23. Governing Law and Dispute Resolution

    In relation to any legal action or proceedings against SUPERFORM regarding any matter connected with or related to the use or access of the Website, the User irrevocably submits to the exclusive jurisdiction of the courts in Mumbai and waives any objection to such proceedings on grounds of venue or on the grounds that the proceedings have been brought in an inconvenient forum. The governing law applicable to these Terms and any related dispute shall be the laws of India.

  24. Assignment

    The User shall not assign, transfer, or delegate any of their rights or obligations under these Terms without the prior written consent of SUPERFORM, and any attempted assignment or transfer made without such consent shall be null, void, and of no effect. SUPERFORM may assign or transfer its rights or obligations, in whole or in part, to any third party at its sole discretion, including in connection with a merger, reorganisation, acquisition, or sale of assets. These Terms shall bind and inure to the benefit of the permitted successors and assigns of SUPERFORM.
